These terms and conditions are up to date as at 23 September 2009 (Terms and Conditions may be altered at any time without notice.)

Welcome to In Uniform (NZ) Limited, a company bringing members and suppliers together. These terms and conditions are intended to clearly establish guidelines for using our cards our website and our services.

1.1 Acceptance of terms and conditions: The terms and conditions are the terms on which In Uniform (NZ) Limited offers you access to our services and supplier portions of the In Uniform Website. By registering as a member or supplier to In Uniform (NZ) Limited you accept these terms and conditions. If you do not accept these terms and conditions, you must not access or use the products and/or services we offer.

1.2 Amendment of terms and conditions: These terms and conditions may be amended in whole or in part by In Uniform (NZ) Limited from time to time. Amendments will be effective immediately upon posting of the amended terms and conditions on our Website. You are responsible for ensuring you are familiar with the latest terms and conditions. Your continued use of the Services represents your agreement to be bound by the terms and conditions as amended.

1.3 Terminology: In these terms and conditions, the following expressions have the meanings set out:
'supplier' means a registered supplier of goods and/or services to members of In Uniform (NZ) Limited
'you' and 'your' are a reference to you;
'item', 'items' means goods, services or property that may be bought or sold through the on line Garage Sale,  +Saver or through direct or indirect advertising.
The term Garage Sale implies all forms on online sales through the In Uniform website, including but not limited to 'Garage Sale', '+Saver' & '$Deals'
'member' means a registered member of In Uniform (NZ) Limited;
'supplier' means a registered supplier to In Uniform (NZ) Limited or our members;
''we', 'us' and 'our' are a reference to In Uniform (NZ) Limited;
‘services' means any one or more of the services offered by In Uniform (NZ) Limited from time to time, including online garage sale, advertising, classifieds, message boards, sms/text alerts and any other service that In Uniform (NZ) Limited may offer;
'website' means any In Uniform (NZ) Limited website through which services are offered;
'listing' means a listing on the Website through which you offer, negotiate, buy, sell or advertise any item or service, whether by Garage Sale or classified advertising;
'seller' includes any person placing a listing on behalf of a registered supplier.

SPECIFIC WARNINGS

2.1 The services: In Uniform (NZ) Limited provides a venue to introduce members who wish to buy items. In Uniform (NZ) Limited does not take any part in the sale of items other than by providing our Website as a venue for members and suppliers to transact. If a member accepts an offer, a contract of sale will be formed between the buyer and the seller directly. We do not act as agent for either party and do not participate in any sale or transaction between you and other members, including where you use the credit card service. If you use the credit card service, we simply pass on payments made by a member to a supplier less our costs.

2.2 At your own risk: Transactions and all other contact between you and members are conducted entirely at your own risk. You agree that In Uniform (NZ) Limited takes no responsibility or liability for any misconduct of any of its members including, without limitation, members that have registered under false pretences or who attempt to defraud you. In Uniform (NZ) Limited gives no undertakings, representations, or warranties in relation to items sold or listed on the Website, including:
1. about ownership of any item;
2. as to the content, safety, description, worthiness, quality, or legality of the items that are listed on the website;
3. as to the accuracy or truth of listings;
4. that any item will meet your requirements or expectations; or
5. about the ability of members to complete a transaction, including credit card transactions.

2.3 Disclaimer: You expressly understand and agree that:
1. your use of the services is at your sole risk. The Website and services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law and without limiting clause 2.2, In Uniform (NZ) Limited disclaims and excludes all implied conditions or warranties, including, but not limited to, any warranties of merchantability, fitness for a particular purpose, and non-infringement;
2. In Uniform (NZ) Limited does not warrant that i) the services provided will be uninterrupted, timely, secure, or error free, or ii) that any information, including any feedback provided on the Website is reliable;
3. no advice or information that is obtained by you from In Uniform (NZ) Limited or anyone else shall create any warranty by In Uniform (NZ) Limited that is not expressly stated in the terms and conditions; and
4. responsibility for the content of advertisements appearing on this Website (including hyperlinks to advertisers' own websites) rests solely with the advertisers. The placement of such advertisements on the Website does not constitute In Uniform (NZ) Limited's recommendation or endorsement of the advertised product or service. Each advertiser is solely responsible for any representation made in connection with its advertisement.
5. while In Uniform (NZ) Limited may facilitate payment for some items by direct credit, direct debit or credit card, once payment has been forwarded to you In Uniform (NZ) Limited is in no way involved in the transaction itself, and responsibility for any refund rests solely with the supplier.
6. while In Uniform (NZ) Limited has systems in place to reduce the risk of credit card fraud, In Uniform (NZ) Limited is not responsible for protecting suppliers from credit card fraud. In Uniform (NZ) Limited’s fraud protection systems may from time to time block legitimate credit card payments. In these cases payment will need to be made by other means and some delay may ensue
7.Delivery Terms and Charges. Delivery method and cost is agreed between the supplier and purchaser at the time of sale. You should receive your products within 5 days of placing your order provided it is sent to an urban New Zealand address, and up to 10-14 days if it is being delivered outside of the main towns and cities. All monies paid for goods is held by In Uniform (New Zealand) Limited for a period of seven days – ensuring the payment to suppliers and shipment to purchasers. Any disputes MUST be lodged within 24 hours of delivery, or funds will be released. Items being picked up should be collected within a reasonable time frame. If there is any delay in collection please make contact with the supplier to ensure the item is not relisted or storage fees incurred.

Orders are delivered by post or courier. This means suppliers need a physical street address for your order, they don’t deliver to PO Boxes. The delivery address will be the address you supplied in your original account application – if this is NOT the delivery address please change it before completing the sale.

RETURNS. Items purchased from In Uniform Sales:

Merchandise accompanied by your original In Uniform sales receipt may be returned for any reason within 14 days of purchase for an exchange or credit or a refund in the same form as the original payment. The merchandise must be unused, undamaged, and in its original condition (with all original tags attached) with packaging in a condition allowing the item to be restocked.

Worn, damaged or altered merchandise may not be exchanged, returned or refunded.
If the merchandise is, in any way, faulty, we will meet our obligations under the Consumer Guarantees Act to provide a remedy. For items supplied by a third party, without normal retail facilities, such as a New Zealand wholesaler, In Uniform will act on behalf of the supplier.
Returned items, purchased online, must be returned to the original point of shipping; where this is not immediately obviously make contact with In Uniform in the first instance.

Items Purchased from other suppliers, retailers, service providers and members.
All items listed by businesses, or purchased over the counter carry the protection of the Consumer Guarantees Act. If you have any dispute with items purchased online you must contact us within 24 hours (before payment to the supplier it released) so we can deal with any issues quickly.

2.4 Liability: You agree that, to the maximum extent permitted by law, any and all liability and responsibility of In Uniform (NZ) Limited to you or any other person under or in connection with these terms and conditions, or in connection with the services, this Website, another Member's acts or omissions, or your use of or inability to use, the services or this Website, is excluded regardless of whether such liability arises in contract, tort (including negligence), equity, breach of statutory duty or otherwise. In Uniform (NZ) Limited's liability and responsibility is excluded in respect of any and all loss or damage, whether direct or indirect, including, without limitation, loss of profits, loss of data, loss of business or anticipated savings, general and special damages, and consequential and incidental loss.

2.5 Indemnity: You agree to release, indemnify and keep indemnified us from and against all actions, claims, costs (including legal costs and expenses), losses, proceedings, damages, liabilities, or demands suffered or incurred by us to any person arising out of or in connection with your failure to comply with these terms and conditions, your failure to complete a transaction, your use of In Uniform (NZ) Limited's message boards, your sale or attempted sale of an item prohibited under clause 4.2(d), or arising out of any content or item you submit, post, transmit, or make available through the Services.

2.6 Breach: Without limiting any other rights and remedies available to In Uniform (NZ) Limited, In Uniform (NZ) Limited may limit your activities on the Website, remove your offers, advertising or listings, warn members of inappropriate actions, issue a warning to you, suspend or terminate your contract, or refuse to provide our Services to you if you breach these terms and conditions or where In Uniform (NZ) Limited considers it appropriat

2.7 Anyone abusing the In Uniform card will have the card revoked immediately and no refund of fees will be offered. Abuse of the card includes but is not limited to negotiating individual discounts and then presenting the card for extra discounts or rewards.

If membership privileges are revoked or a member cancels their membership the In Uniform Fuel+ Rewards or Rewards+ card must be returned immediately to National Office in Wellington, to our Auckland regional office at CardLink Services or to an area representative. If the card is not returned and no evidence of its destruction is forthcoming In Uniform will continue to charge membership fees and pursue collection of all outstanding fees.

Primary cardholders allowing ineligible people to join on their account risk having their membership (and all additional memberships) cancelled.

2.8 The In Uniform Fuel+ Rewards and Rewards+ cards are not legal identity cards, nor do they suggest the holder of said card holds any authority in relation to the company or to any company, government sector, department or agency. They do not infer or imply the holder has any authority or right in relation to any uniformed sector. Misuse of the card in this respect is a violation of the Terms and Conditions and may result in immediate cancellation of membership.

Members must keep secure at all times their four digit PIN (Personal Identity Number). It must not be a number easily guessed such as 1111 or their own birthdate. The number must not be written down on or close to the card. The card itself must be reasonably protected from loss, misuse and fraud.

2.9 Lost and Stolen cards must be reported to both the Police and our 24Hour Help desk as soon as the member becomes aware of the loss.

Becoming A Supplier

3.1 Becoming a Supplier: Becoming a supplier is by application. You may only register as a supplier if you operate a business in New Zealand or Australia and can form a legally binding contract that is enforceable against you. For example, you must be 18 years old. By registering as a supplier, you warrant that you can form a legally binding contract.

3.2 Accurate Information: You warrant that you have provided complete, accurate and current personal information when registering as a supplier. You must maintain and update your personal information held by In Uniform (NZ) Limited to ensure it is kept current at all times. In Uniform (NZ) Limited may phone or mail you to verify these details. You must not register as a supplier under multiple identities or personas (whether false or not).

3.3 Termination of membership as a supplier: In Uniform (NZ) Limited reserves the right to decline to register or to terminate your membership without entering into further discussions with you. Without limiting the foregoing, In Uniform (NZ) Limited may terminate your membership if a serious complaint or multiple complaints are received about you from our members, if you breach these terms and conditions, if you impersonate another supplier, or if we, at our sole discretion, deem your behaviour to be unacceptable. Suppliers who have registered under multiple aliases will have all of their aliases disabled and all memberships cancelled.

3.4 Security of your login information: You are responsible for keeping your login information, including your email address and password, secret and secure. Without limiting the foregoing, you agree:
1. not to permit any other person to use your user name or membership; and
2. not to disclose, or provide to any other person, your password, email address, date of birth or any other information in connection with your membership that may allow them to gain access to your membership.

3.5 Emails and newsletters: In Uniform (NZ) Limited will send you emails relating to your membership, transactions and other activities on the Website, and for promoting and marketing other In Uniform (NZ) Limited products and services to you. In Uniform (NZ) Limited may also send regular electronic newsletters to members. Newsletters will contain clear and obvious instructions for how you can unsubscribe from the mailing list.

3.6 Signing up as a supplier is for a period of 36 months from the date of acceptance – this will automatically be renewed for a further and repeating periods of 36 months, provided no issues arise.

3.7 Suppliers can choose to cancel their membership at the end of any 36 month period or by mutual agreement with In Uniform (NZ) Limited after a formal request in writing. Three months is the standard period allowed for the cancellation of a membership to ensure all members are suitably notified and all sales are completed

3.8 Members must register as a supplier if:
they have more than 20 similar or related items listed for sale at any one time.
they are making, on average, more than 1 sale per week.
they are obviously carrying on business-like activity on the site.

Registering as a supplier does not effect their membership status in any way. Forced registration is to ensure we comply with all reporting and recording requirements.

3.9 By signing up as a supplier you agree to accept any valid special discount coupons issued by In Uniform New Zealand Limited. Unless otherwise agreed you will receive a full reimbursement for the value of the coupon on return to In Uniform New Zealand Limited.

GENERAL RULES

4.1 General
1. All listings, offers or communications made through In Uniform (NZ) Limited shall be made in good faith.
2. You must not damage, interfere with or harm the Website or Services, or any network, or system underlying or connected to them, or attempt to do so.
3. You may not use a robot, spider, scraper or other automated means to access the Website or information featured on it for any purpose.
4. You must list all items, offers and classifieds in New Zealand dollars and include GST in the price. All tax obligations are the responsibility of the seller and/or the buyer (as the parties determine).
5. You must not complete a transaction outside of the In Uniform (NZ) Limited process or otherwise seek to avoid In Uniform (NZ) Limited's sales fees. Attempts by you to avoid fees may result in In Uniform (NZ) Limited suspending or terminating your membership at the discretion of In Uniform (NZ) Limited.
6. You are responsible for any actions taken through your membership. In Uniform (NZ) Limited memberships are not transferable and therefore can not be sold, leased, lent or traded.
7. All questions and answers between buyers and sellers are monitored. Any misuse of this information sharing service is a breech of terms and may result in cancellation of your membership. You must not use this facility for sharing contact information.

 4.2 Your obligations as a seller in our online Garage Sale
1. Suppliers must be located in New Zealand or Australia. Suppliers outside of these countries are not permitted to sell on In Uniform (NZ) Limited’s website. Australian suppliers must accept payment into their own domestic New Zealand bank account to which payments can be made if trading within New Zealand. Suppliers should not send items to an address that is outside New Zealand and Australia.
2. You will only enter listings that are accurate, current, complete, and include all relevant information about the terms of sale, payment terms, shipping methods and who bears the cost of shipment. You must list an item in one category only, which must be the most appropriate category for your item.
3. You will only place listings for items that exist and are to be sold. You will not list items that you are not legally entitled to sell or that are not in your possession. You will not sell or offer services. In the case of automobiles that are offshore or in transit to New Zealand you must be a registered motor vehicle trader and hold clear authority to sell such vehicles before being able to list them. You must also clearly indicate that such vehicles are offshore or in transit in the listing. Any land listed for sale must be in New Zealand.
4. You must not list anything that is illegal, offensive (including anything of a defamatory, pornographic, or racially or ethnically objectionable nature), stolen, or unsafe, anything which infringes copyright or other intellectual property rights, items which have been illegally imported or which would require illegal import or export in order to complete the transaction, or any item of which the sale is prohibited by, or violates any, law. You are responsible for ensuring that any listing by you does not breach this clause 4.2(d). You agree that In Uniform (NZ) Limited may disclose your personal information, including your name and contact details, to the relevant authorities, parties and/or the applicable intellectual property right holders (or their representatives) if we consider that you are in breach of this clause 4.2(d) at any time.
5. You must ensure you hold the copyright or are otherwise licensed to use any images you add to your listings, advertisements or links.
6. When you list an item for sale on In Uniform (NZ) Limited, you should do so with the intention of selling this item through the site. Therefore you should not advertise your item through another forum. If you remove a listing before the expiry date you will incur a non-refundable withdrawal fee, regardless of the reason.
7. Your listing may only contain a URL for a website that contains further information on the item you have listed. This website must not offer any items for sale, or contain contact details unless you listing is a Promo listing. You must not use In Uniform (NZ) Limited’s Garage Sale to promote a business or website other than one for sale in your listing or as a Promo listing.
8. You must not use the Services or the Website to sell items that are of a speculative nature including, but not limited to, pyramid, surf-for-free, or similar schemes.
9. You must not manipulate prices through any means or assuming multiple roles in a single transaction.
10. For classifieds, you may choose to sell to any buyer at your discretion.
11. You will only list adult rated content (videos, magazines, DVD's, etc) in the Adult category. Adult content listed in non-adult categories will be removed or moved to the Adult category. Consistent (more than 3) incorrect listings will be seen as deliberate and may jeopardise your account
12. Listings are not pre-screened for content. In Uniform (NZ) Limited reserves the right to remove any listing that it deems unsuitable or in breach of the terms and conditions.
13. You agree to your email address being supplied to the buyer when your auction closes.
14. You must promptly forward the listed item to the successful buyer on completion of the transaction.
15. You must not charge unreasonable amounts for shipping and packaging costs.
16. The sale of films, videos, DVDs, VCDs and laser disks is covered by the Films, Videos and Publications Classification Act 1993. It is an offence to sell any of these items if they have not been examined and classified by the appropriate agencies. The offence carries a maximum penalty of $3,000 per publication. If any publication was sold, and deemed to be objectionable and where the seller knew the publication was objectionable, the maximum penalty consists of 10 year's imprisonment per publication. Therefore, when listing these items for sale, you must include within your listing, the New Zealand classification rating and all information on the classification label.
17. It is not permitted to sell, offer or display any fire arms or other weapons the In Uniform website.
18. If you advertise a Wanted To Buy item your expressly acknowledge permission is granted that you contact details be provided to potential suppliers of the goods you seek.

4. Feedback is provided for the sole purpose of facilitating trading between members on the In Uniform (NZ) Limited Website. You must not market or export any feedback to any venue other than the In Uniform (NZ) Limited Website. Linking to your In Uniform (NZ) Limited feedback from other buying and selling websites will be considered a breach of our terms and conditions.

FEES AND ACCOUNTS

5.1 In Uniform (NZ) Limited Success Fees
1. In Uniform (NZ) Limited charges fees for the use of the Website as a venue for sales and advertising.
2. In Uniform (NZ) Limited's current fees are listed on our fees page in the About Us section.
3. In Uniform (NZ) Limited may (at our sole discretion) refund a fee charged on completed sales if the sale is not successfully completed, provided that a supplier follows our defined refund process. In Uniform (NZ) Limited will only issue refunds in the form of credit to the suppliers designated bank account. Cash refunds will not be issued. Credits on accounts with In Uniform (NZ) Limited are not transferable between members.
4. In Uniform (NZ) Limited reserves the right to change the fees charged for any of our Services at any time. In the event that we introduce a new service, the fees for that service are effective at the launch of the service, unless otherwise stated.
5. If you are a New Zealand resident, then all fees are inclusive of GST and in New Zealand dollars unless otherwise stated. If you are not a New Zealand resident, then all fees are, unless otherwise stated, in New Zealand dollars and do not include GST. Unless otherwise stated in these terms and conditions, no interest or other financial charges will be applied to In Uniform (NZ) Limited account balances.
6. In Uniform (NZ) Limited reserves the right to investigate queries regarding the refund of success fees with bidders, other members, Internet Service Providers, and any other relevant party.
7. Before listing an item, you should review In Uniform (NZ) Limited's fees to ensure you are aware of the fees that you will incur.
8. You must pay the fees immediately upon demand by In Uniform (NZ) Limited

5.2 In Uniform (NZ) Limited Accounts

5.3 You must settle any negative account balance or outstanding accounts immediately. In Uniform (NZ) Limited reserves the right to take action against you to recover outstanding debts. You are liable for all expenses (including legal fees) that In Uniform (NZ) Limited incurs when collecting that debt.
4. If your membership is terminated In Uniform (NZ) Limited will refund the balance of your credit account, less a $5 manual processing fee that is payable to In Uniform (NZ) Limited. Consequently, no refund will be made if the account balance is below $5. If your membership is removed due to breach of our terms and conditions it is at our discretion whether you are eligible for a refund. Promotional giveaways of In Uniform (NZ) Limited credits, bonus credits, or any free credits gifted to the member on registration will not be refunded.
5. Suspended accounts can be reactivated by a written or email request to In Uniform (NZ) Limited.

GENERAL PROVISIONS

6.1 System Integrity: In Uniform (NZ) Limited will use its reasonable endeavours to ensure the availability of the Website and Services, subject to any downtime required for maintenance. However, In Uniform (NZ) Limited takes no responsibility for any system unavailability, or for any loss that is incurred as a result of Website or Services being unavailable. Further, In Uniform (NZ) Limited assumes no responsibility for the corruption of any data or information held by In Uniform (NZ) Limited.

6.2 Resolution of disputes: As In Uniform (NZ) Limited is not a party to any sale or transaction between you and another member, you agree not to involve, or attempt to involve, In Uniform (NZ) Limited in any dispute or in the resolution of disputes that arise between you and another member as a result of the Services provided, other than as provided in clause 4.3 (2).

6.3 In Uniform (NZ) Limited Message Boards: In Uniform (NZ) Limited provides Message Boards for the use of In Uniform (NZ) Limited members. The Message Boards may not be used to promote auctions, websites or any commercial or business activity. In Uniform (NZ) Limited is not responsible for any of the opinions expressed in the Message Boards. By posting a message to the message board you agree to take full legal responsibility and liability for your comments, including for offensive or defamatory statements.

6.4 Force Majeure: Without prejudice to clause 2.3(a), In Uniform (NZ) Limited has no liability for any lack of performance, unavailability or failure of the Services or the Website, or for any failure of In Uniform (NZ) Limited to comply with these terms and conditions where the same arises from any cause reasonably beyond the control of In Uniform (NZ) Limited.

6.5 No Waiver: If we do not exercise or enforce any right available to us under these terms and conditions, it does not constitute a waiver of those rights.

6.6 Partial Invalidity: If any provision of these terms and conditions becomes or is held to be invalid, unenforceable or illegal for any reason, and in any respect, that provision shall be severed from the remaining terms and conditions, which shall continue in full force and effect.

6.7 Governing Law: These terms and conditions are governed by the laws of New Zealand. You submit to the non-exclusive jurisdiction of the Courts of New Zealand.

6.8 Intellectual Property Rights: In Uniform (NZ) Limited (and its licensors or suppliers, as the case may be) owns all proprietary and intellectual property rights in the Website (including text, graphics, logos, icons and sound recordings) and the software and other material underlying and forming part of the Services and the Website.
1. You may not without our prior written permission, in any form or by any means:
1. Adapt, reproduce, copy, store, distribute, print, display, perform, publish or create derivative works from any part of this Website; or
2. Commercialise, copy, or on-sell any information, or items obtained from any part of this Website.

6.9 Entire agreement: These terms and conditions supersede all previous conditions, understandings, commitments, agreements and representations whatsoever whether oral or written, and constitutes the entire agreement, between the parties, relating to the subject matter of these terms and conditions.

6.10 Privacy: In Uniform (NZ) Limited collects personal information about you through your use of the Services and the Website, including:
  • your registration details; and
  • information relating to your use of the Website and the content you access
You agree that In Uniform (NZ) Limited may use this personal information to assist us to provide the Services to you, for internal research purposes, to verify your identity, for promoting and marketing other In Uniform (NZ) Limited products and Services to you, and for any other use that you authorise. You agree to your membership's trading history being published in your feedback.
We will not sell or allow third parties to access your personal information without your consent. We release account and other personal information only when we believe release is appropriate to comply with law; facilitate court proceedings; enforce or apply our terms and conditions; or protect the rights, property, or safety of In Uniform (NZ) Limited Limited, our users, or others. Government agencies with statutory roles enabling them to request information from us include but are not restricted to the Police, Inland Revenue Department and Ministry Of Economic Development. You may contact In Uniform (NZ) Limited to ask whether information has been provided to government agencies.
If you intend to take Disputes Tribunal proceedings against another supplier or  member and you require that member's contact details in order to take such proceedings, In Uniform (NZ) Limited will release those details to you if you make a Statutory Declaration stating that you require that member's contact details for the sole purpose of taking Disputes Tribunal proceedings. You may obtain a Statutory Declaration for this purpose by contacting In Uniform (NZ) Limited or the Disputes Tribunal.

In Uniform (NZ) Limited Privacy Policy

In Uniform (NZ) Limited has created this privacy statement in order to demonstrate our firm commitment to privacy. This document discloses our information gathering and usage practices. For additional information about In Uniform (NZ) Limited, please review our Terms and Conditions.

Use of your information

In Uniform (NZ) Limited does not – UNDER ANY CIRCUMSTANCES - sell or rent your personal information to third parties.
We release account and other personal information only when we believe release is appropriate for legal compliance and law enforcement (including to government agencies with statutory law enforcement responsibilities); to facilitate court proceedings; enforce or apply our terms and conditions; or protect the rights, property, or safety of In Uniform (NZ) Limited, our users, or others. Government agencies with statutory roles enabling them to request data from us includes but is not restricted to Police, IRD and the Ministry Of Economic Development. Members can contact In Uniform (NZ) Limited to ask whether such information has been provided.
If you wish to take Dispute Tribunal proceedings against another member, you can contact In Uniform (NZ) Limited or the Disputes Tribunal for a statutory declaration, requesting contact details for the sole purpose of making a claim.
